Version: 11-09-2026

1. Definitions

In these terms:

  • Macada / we / us: Macada Innovision B.V., Fresiastraat 6, 2071 NV Santpoort-Noord, the Netherlands, Chamber of Commerce (KvK) 34091255, VAT NL809594468B01, email: info@macada-innovision.nl, telephone: +31 (0)23 538 6027.
  • Customer / you: any natural or legal person who enters into, or intends to enter into, an agreement with Macada, or who uses the Website.
  • Consumer: a Customer acting for purposes outside their trade, business, craft or profession.
  • Products: all goods offered by Macada, including glass, mirrors, optical products, projection systems and accessories, including made-to-measure items.
  • Contract: any agreement between Macada and the Customer relating to Products and/or services.
  • Website: Macada’s webshop and related online environments.

2. Applicability

  1. These terms apply to all offers, orders and Contracts via the Website or otherwise, unless agreed otherwise in writing.
  2. Any terms of the Customer apply only if expressly accepted by Macada in writing.
  3. If any provision is invalid or unenforceable, the remaining provisions remain in force. The parties will seek a replacement provision that reflects the original intent as closely as possible.
  4. Macada may amend these terms. The version applicable at the time of the order governs that order.

3. Offers, prices and information

  1. Offers on the Website are non-binding unless expressly stated otherwise.
  2. Prices are in euros and, unless stated otherwise, include or exclude VAT as shown on the Product page or at checkout. Shipping and any start-up/processing charges are shown separately or calculated at checkout.
  3. Obvious errors or mistakes in offers or on the Website do not bind Macada.
  4. Images, drawings, specifications, colours and dimensions are provided as accurately as possible but may vary. For made-to-measure Products, the Customer’s confirmed specifications prevail.

4. Formation of the Contract

  1. The Contract is formed when Macada confirms the order (for example by email) or when Macada begins performance.
  2. Macada may refuse an order or request additional information, for example in case of doubt about availability, specifications, payment risk or deliverability.
  3. The Customer is responsible for the accuracy of order details, dimensions, specifications and contact/delivery information.

5. Made-to-measure and special Products

  1. Many Macada Products are or will be manufactured or processed to the Customer’s specifications.
  2. Once production or processing has started based on confirmed specifications, cancellation or change is only possible with Macada’s written consent. Costs already incurred may be charged.
  3. Made-to-measure Products are often excluded from returns and withdrawal rights (see clause 9).

6. Payment

  1. Payment is made via the methods offered on the Website, unless otherwise agreed.
  2. For business orders, Macada may require advance payment, partial delivery or other payment arrangements.
  3. If payment is late, the Customer is in default without further notice. Macada may suspend delivery and charge statutory (commercial) interest and reasonable recovery costs, to the extent permitted by law.

7. Delivery and risk

  1. Delivery times are indicative unless a fixed date has been agreed in writing. Exceeding an indicative timescale does not entitle the Customer to damages or termination, except where mandatory law requires otherwise or where there is serious delay after Macada has been put on notice.
  2. Delivery is made to the address provided by the Customer, unless collection or another method has been agreed.
  3. Risk of loss or damage passes to the Customer upon delivery to the Customer or a person designated by the Customer, unless mandatory law provides otherwise.
  4. Glass and mirrors are fragile. The Customer must ensure proper receipt and inspection on delivery. Visible transport damage should be reported as soon as possible (preferably immediately), with photographs of packaging and Product.
  5. Macada may deliver in instalments.

8. Retention of title

Delivered Products remain Macada’s property until the Customer has paid all amounts due under the Contract in full.

9. Right of withdrawal (Consumers only)

  1. Consumers generally have a 14-day cooling-off period for distance sales, unless a statutory exception applies.
  2. The right of withdrawal does not apply to Products made to the Consumer’s specifications or clearly personalised, nor in other cases excluded by law.
  3. For standard Products where withdrawal does apply, Macada will provide return instructions. Returns are at the Consumer’s risk and expense unless stated otherwise. Products must be unused, complete and returned in original (or equivalent) packaging where reasonably possible.
  4. Business Customers have no statutory right of withdrawal unless Macada expressly grants one.

10. Warranty, complaints and conformity

  1. Macada warrants that Products conform to the Contract, the specifications stated in the offer, and reasonable standards of quality.
  2. Complaints about defects or non-conformity must be reported as soon as possible after discovery, preferably in writing/by email, with a clear description and photographs where possible.
  3. In the event of a justified defect, Macada may, at its option, repair, replace or (partially) refund, within the limits of applicable law. Consumers’ mandatory statutory rights remain unaffected.
  4. No warranty/liability applies for defects caused by improper use, installation, third-party processing, normal wear and tear, or failure to follow (processing) instructions, unless mandatory law provides otherwise.

11. Liability

  1. To the extent permitted by law, Macada is not liable for indirect or consequential loss, loss of profit, loss of savings, or business interruption.
  2. Macada’s total liability is limited to the invoice value of the relevant order (excluding VAT), or to the amount paid out by Macada’s insurer in the matter if higher — except in cases of intent or wilful recklessness by Macada.
  3. Towards Consumers, this limitation applies only insofar as permitted by law; mandatory consumer rights remain unaffected.

12. Force majeure

Macada is not obliged to perform in the event of force majeure, including (without limitation) supplier failures, transport disruption, fire, pandemic, government measures, power or network outages, or other circumstances beyond reasonable control. Either party may terminate the Contract if force majeure continues for more than 60 days, without liability for damages, to the extent permitted by law.

13. Intellectual property

All intellectual property rights in the Website, catalogues, drawings, software, texts and images belong to Macada or its licensors. Nothing may be copied or used without prior written consent, other than for normal use of the Website.

14. Privacy

Personal data are processed as described in Macada’s privacy policy.

15. Complaints

Complaints may be sent to info@macada-innovision.nl. Macada aims to handle complaints promptly. Consumers may also use the European ODR platform: https://ec.europa.eu/consumers/odr/

16. Governing law and disputes

  1. These terms and all legal relationships with Macada are governed by Dutch law.
  2. Disputes shall be submitted to the competent court in the district of Macada’s registered office, unless mandatory law (in particular for Consumers) requires otherwise.
